Terms of Service

These terms govern use of SnapShelf — the live shelf and offer platform for local shops in India, operated by SnapShelf.

1. Acceptance

By creating a merchant account, listing inventory, sharing a storefront QR or link, or submitting an offer on SnapShelf, you agree to these Terms of Service, our Privacy Policy, and our Refund & Cancellation Policy.

If you do not agree, do not use the service.

2. Definitions

  • "Platform" means the SnapShelf website, merchant dashboard, public storefronts, APIs, and related services.
  • "Merchant" or "shop owner" means a person or business that registers and publishes listings.
  • "Buyer" or "visitor" means a person who browses a public storefront or submits an offer without necessarily creating an account.
  • "We", "us", and "our" refer to the operator of SnapShelf as identified on our Contact page.
  • "Content" means listings, photos, videos, prices, descriptions, shop branding, and messages you upload or generate through the Platform.

3. The service

SnapShelf helps shop owners publish a live digital shelf, share it via QR code or link, and receive soft offers from customers. Features may include photo listings, inventory status, in-app alerts, optional push notifications, and optional WhatsApp alerts for merchants.

We may update, suspend, or discontinue features at any time. The Platform is provided on an "as is" and "as available" basis.

SnapShelf is a technology platform only. We are not a marketplace that takes title to goods, not a payment intermediary, and not a party to offline sales between shops and buyers.

4. Merchant obligations

  • You are responsible for account credentials and for staff access you enable.
  • You must provide accurate shop name, contact details, and listing information.
  • You are solely responsible for the legality, safety, condition, pricing, taxes, warranties, and delivery of products you list.
  • You must comply with applicable Indian laws, including consumer protection, GST, and local trade regulations that apply to your business.
  • You are responsible for all activity under your merchant account.
  • We may suspend or terminate accounts that violate these terms, pose fraud or security risk, or receive valid legal complaints.

5. Buyer & visitor obligations

  • Offers submitted through a storefront are expressions of interest only, not binding contracts.
  • Buyers must provide accurate contact information when submitting an offer.
  • Buyers must not misuse storefronts, harass merchants, submit fraudulent offers, or attempt to scrape or disrupt the Platform.
  • Any purchase, payment, inspection, warranty, or refund for a physical product is solely between the buyer and the shop.

6. Listings, content & licence

  • You retain ownership of Content you publish. You grant us a non-exclusive, worldwide, royalty-free licence to host, display, reproduce, and transmit that Content solely to operate and promote the Platform.
  • Listings must accurately describe items offered. Do not list stolen, counterfeit, illegal, or prohibited goods.
  • You may remove or update listings at any time. Sold or reserved states reflect your shop workflow.
  • We may remove or restrict Content that violates law, these terms, or third-party rights, or that creates security or reputational risk.

7. Customer offers

Accepting, declining, countering, or ignoring an offer is entirely at the merchant's discretion unless you have a separate offline agreement with the buyer.

SnapShelf does not process payments, hold funds, escrow money, or guarantee that any offer will result in a sale.

8. Alerts & communications

  • Merchants may receive in-app, push, email, or WhatsApp notifications relating to offers and account activity where enabled.
  • You must use communications features only for legitimate commerce. No spam, harassment, or unlawful messaging.
  • Delivery of third-party channels (e.g. WhatsApp, push providers) depends on their policies and network availability; we do not guarantee delivery timing.

9. Subscription & billing

Paid merchant plans are described on our website and Refund & Cancellation Policy. Current standard pricing is ₹1,999 per month unless otherwise stated at signup.

Prices are exclusive of applicable GST unless expressly stated otherwise at checkout or on your invoice.

By subscribing, you authorise recurring charges for each billing period until you cancel in accordance with our Refund & Cancellation Policy.

10. Acceptable use

  • Do not abuse, scrape, reverse engineer, overload, or attempt unauthorised access to the Platform.
  • Do not upload malware, unlawful content, or material that infringes intellectual property or privacy rights.
  • Do not misrepresent your identity, shop, inventory, or affiliation with ${brandName}.
  • Do not use the Platform to defraud, phish, or impersonate others.

11. Intellectual property complaints

If you believe Content on the Platform infringes your copyright, trademark, or other rights, email us at legal@snapshelf.org with: (a) your contact details, (b) identification of the work claimed to be infringed, (c) the URL or listing reference, and (d) a statement of good-faith belief and authority to act.

We may remove or disable access to disputed Content while reviewing a complaint.

12. Disclaimers & limitation of liability

SnapShelf does not inspect, certify, or warrant the condition, authenticity, legality, or fitness of listed products. We are not responsible for merchant conduct, buyer conduct, pricing disputes, no-shows, product defects, or offline payment arrangements.

To the fullest extent permitted under applicable Indian law, we disclaim indirect, incidental, special, or consequential damages arising from use of the Platform.

Our aggregate liability for any claim relating to the Platform shall not exceed the total fees you paid us in the twelve (12) months before the event giving rise to the claim, or zero if the service was free.

13. Indemnity

Merchants agree to indemnify and hold harmless the Platform operator from claims, losses, or expenses (including reasonable legal fees) arising from your Content, listings, offers, breach of these terms, or violation of applicable law.

14. Termination

You may stop using the Platform at any time. We may suspend or terminate access if you breach these terms or if required for legal, security, or operational reasons.

Sections that by nature should survive termination (including disclaimers, limitation of liability, indemnity, and governing law) will continue to apply.

15. Governing law & jurisdiction

These terms are governed by the laws of the Republic of India.

Subject to applicable law, courts at courts at Bengaluru, Karnataka, India shall have exclusive jurisdiction over disputes arising from these terms or use of the Platform.

16. Changes & contact

We may revise these terms by posting an updated version with a new "Last updated" date. Material changes may also be notified through the dashboard or email where appropriate. Continued use after the effective date constitutes acceptance.
